Terms and Conditions

1. About Cosarn Technologies

Cosarn Technologies is a software development and digital solutions company registered in Uganda. We provide custom software development, website design, enterprise systems, IT infrastructure, and technology consulting services to organizations across Uganda and East Africa.

Registered address: Mount Olives Country Mall, Kiwaatule, Kampala, Uganda.

2. Services

Cosarn Technologies provides the following services:

• Custom software development and enterprise systems
• Website design and development
• Mobile application development
• E-procurement and hospital management systems
• IT infrastructure, hosting, and maintenance
• Technology consulting and digital transformation

The specific scope, deliverables, timelines, and pricing for each project are defined in a separate Service Agreement or Statement of Work signed between Cosarn Technologies and the client.

3. Quotations and Payments

All quotations provided by Cosarn Technologies are valid for 30 days from the date of issue unless otherwise stated. Quotations are not binding until a formal agreement is signed by both parties.

• Payment terms are specified in the project agreement
• A deposit is typically required before work commences
• Final payment is due upon project completion and delivery
• Late payments may attract interest at the prevailing bank rate
• All prices are quoted in Uganda Shillings (UGX) or US Dollars (USD) as specified

4. Intellectual Property

Upon full payment of all agreed fees, the client owns the final deliverables produced specifically for their project. Cosarn Technologies retains ownership of:

• All pre-existing code, frameworks, libraries, and tools used in development
• Internal methodologies and development processes
• Generic components not specifically commissioned by the client

Cosarn Technologies reserves the right to reference completed projects in our portfolio and marketing materials unless the client requests confidentiality in writing.

5. Client Responsibilities

For a successful project, clients are expected to:

• Provide accurate and complete project requirements
• Supply necessary content, assets, and access credentials in a timely manner
• Appoint a designated contact person for project communication
• Review and approve deliverables within agreed timeframes
• Make payments according to the agreed schedule

Delays caused by the client may result in revised timelines and additional charges.

6. Project Timelines

Cosarn Technologies will make reasonable efforts to deliver projects within the agreed timelines. However, timelines may be affected by factors outside our control including delays in client feedback, third-party integrations, or force majeure events. In such cases, Cosarn Technologies will communicate revised timelines promptly.

7. Warranties and Support

Cosarn Technologies provides a warranty period for defects in our deliverables as specified in the project agreement. After the warranty period, ongoing support and maintenance are available under a separate support agreement.

We do not warrant that software will be entirely free of bugs or that it will operate uninterrupted. We commit to addressing reported issues within reasonable timeframes.

8. Limitation of Liability

To the maximum extent permitted by law, Cosarn Technologies shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of data, revenue, or business opportunities
• Damages arising from third-party services or integrations
• Issues caused by client modifications to delivered systems

Our total liability in any matter shall not exceed the total fees paid by the client for the specific service giving rise to the claim.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of a project. This obligation survives the termination of any agreement. Cosarn Technologies will not share client data with third parties without explicit consent except as required by law.

10. Termination

Either party may terminate a project agreement with written notice as specified in the project contract. Upon termination:

• The client shall pay for all work completed up to the termination date
• Cosarn Technologies shall deliver all completed work to the client
• Each party shall return or destroy confidential information of the other

11. Governing Law

These Terms and Conditions are governed by the laws of the Republic of Uganda. Any disputes arising from these terms or any project agreement shall first be subject to good-faith negotiation between the parties. If unresolved, disputes shall be referred to arbitration or the courts of Uganda.

12. Website Use

By using the Cosarn Technologies website, you agree not to:

• Use the website for any unlawful purpose
• Attempt to gain unauthorized access to any systems
• Reproduce or distribute our content without permission
• Transmit harmful, offensive, or misleading content

13. Changes to These Terms

Cosarn Technologies reserves the right to update these Terms and Conditions at any time. Changes will be posted on this page with an updated date. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
